• Entity formation and documentation for corporations, partnerships, limited liability companies, limited partnerships and other business entities

• Formation and structuring of real estate ventures and transactions for the acquisition, disposition and leasing of commercial, industrial, retail and residential properties

• Preparation and negotiation of all forms of commercial contracts, including employment related agreements and materials, consulting agreements, brokerage agreements, service agreements, and distribution agreements

• Acquisition and sales of all types of businesses, including asset and/or stock transactions, mergers or other business combinations, including the drafting and negotiation of letters of intent and stock/asset sale and purchase agreements

• Preparing, drafting and structuring offerings and private placement memoranda and subscription documents to raise capital (both debt and equity) in connection with the sale of limited partnership interests, shares of stock, or membership interests in limited liability companies
